TULSATO Financial Terms

Version 2026.10.12

TULSATO FINANCIAL TERMS Effective Date: 11 October 2026 Version: 2026.10.12 These Financial Terms form part of the TULSATO Terms of Service. TULSATO is operated by DAMOCLES SERVICES SINGLE MEMBER P.C. Seller: DAMOCLES SERVICES SINGLE MEMBER P.C. They describe the current commercial model for Company Service Balance, Professional Service Balance, Professional Earnings, marketplace fees, conversion, funding valuation, and withdrawals. TULSATO internal balances are USD records. Company Service Balance is USD. Professional Service Balance is USD. Professional Earnings Balance is USD. TULSATO does not maintain user wallet balances in EUR, GBP, TRY, JPY, or any other currency. Legacy technical names may still contain the word "credit". SALES Credits are not the current product currency. A USD internal balance is not a statement that provider cash is held as USD bank cash. Provider funds may remain in the currency the provider actually retains. TULSATO does not intentionally execute an automatic currency exchange because the internal ledger is USD. A read-only provider rate is valuation evidence. It is not, by itself, an executed conversion. TULSATO records whether an actual provider currency exchange occurred. These Terms do not say that money was converted to USD unless that record shows an actual exchange. TULSATO is not a bank, electronic money institution, payment institution, or safeguarded-wallet operator. Balances are in-product commercial records for use of TULSATO services. They are not deposit accounts, e-money accounts, or cash held on trust. Fees may be subject to applicable taxes. These Terms do not state VAT, invoice, or accounting classification. These Terms do not add a TULSATO foreign-exchange margin. 1. COMPANY SERVICE BALANCE A Company has a TULSATO Service Balance in USD. The Company Service Balance: - is for use within TULSATO only; - is non-refundable except where mandatory law requires otherwise, or where TULSATO makes a technical/accounting correction or an exceptional approved remedy; - is non-withdrawable; - cannot be redeemed for cash; - cannot be transferred outside permitted TULSATO functionality; - is reduced by assignment and other applicable TULSATO service debits; - may be used for Freelancer/Professional assignments and for other TULSATO services where the product so provides. The Company has no cash-out, withdrawal right, or refundable wallet balance. Company users do not receive Professional payout controls. TULSATO may reserve portions of Service Balance for active assignments or other obligations. Reserved amounts are unavailable for other use until released or settled. The Company must maintain sufficient Service Balance for its commitments. Applicable TULSATO platform/service fees are charged in addition to Professional gross compensation where specified. 2. PROFESSIONAL WALLET A Professional has USD records with two economically distinct components. A. Service Balance Sources: the Professional's own funding, and earnings the Professional expressly converts into Service Balance. Properties: non-refundable (subject only to mandatory law, technical correction, or an exceptional TULSATO-approved remedy); non-withdrawable; usable for TULSATO services, subscriptions, add-ons, and similar in-product purchases. B. Earnings Balance Source: eligible marketplace / Freelancer earnings. Properties: potentially withdrawable; subject to settlement finality, identity and destination checks, TULSATO review, compliance checks, provider availability, and the payout rules in these Terms; may be voluntarily converted into Service Balance. Displayed Total Balance may equal Service Balance + Earnings Balance. That display total does not make the two components legally or financially the same. Available to withdraw is Earnings only. Available to spend is Service Balance plus any Earnings the Professional expressly converts. Professional funding of Service Balance is not withdrawable. An Earnings balance does not promise that a payout will be made. 3. FUNDING AND PROVIDER VALUATION Where a funding rail is enabled, a user may pay in a supported source currency. The source currency can differ from the USD ledger. Supported funding currencies may include currencies that are not payout currencies. TRY funding support, where the provider supports it, does not create a TRY payout. JPY funding support, where the provider supports it, does not create a JPY payout. JPY amounts use a zero decimal exponent where that currency is used for funding. Two funding modes may be offered. "I want to pay": the user specifies the source-currency amount. "I need in my TULSATO balance": the user specifies the desired net USD Service Balance credit. TULSATO may calculate the source-currency amount from provider valuation and fees. That calculation is not a guaranteed provider currency exchange and is not a promise that the provider will execute one. Before payment, the user may see the source amount, the source currency, a provider valuation or rate, a Currency Conversion Charge where the provider quote includes one, and an estimated USD Service Balance credit. The estimate is not a guaranteed rate. The final USD credit uses the authoritative provider evidence after payment and may differ from the estimate because the provider rate or fee differs. The Currency Conversion Charge is a provider valuation input. It is not, by itself, a statement that the provider executed a currency exchange. TULSATO keeps the source currency, source amount, provider reference, USD valuation, and actual-exchange status as transaction evidence. The Service Balance credit is USD. Funding does not credit Earnings. Service Balance funding is non-refundable and non-withdrawable under these rules. Real funding remains unavailable until TULSATO enables that rail. 4. EARNINGS CONVERSION A Professional may voluntarily use Earnings for TULSATO services only after express authorization of an Earnings-to-Service conversion. After conversion: - the converted amount moves from withdrawable Earnings to non-refundable Service Balance; - that amount is no longer available for withdrawal; - conversion is one-way, except where TULSATO is legally required to reverse or correct a transaction; - correction of technical or accounting errors may use compensating entries and remains auditable. This conversion is an internal ledger movement. It is not a provider currency exchange and it does not itself move money at a payment or payout provider. TULSATO does not automatically convert Earnings. 5. MARKETPLACE FEES TULSATO determines the commercial split. A payment or payout provider does not determine TULSATO business logic. Current Freelancer marketplace structure, unless a later versioned commercial instrument says otherwise: - Company fee: 5% of Professional gross service amount; - Professional fee: 5% of Professional gross service amount. Example (illustrative only): Gross Professional rate: $50.00 Company fee: $2.50 Company Service Balance debit: $52.50 Professional fee: $2.50 Professional Earnings credit: $47.50 Total TULSATO platform fee: $5.00 Both sides are charged separately. Rates may change prospectively under updated, versioned commercial terms. TULSATO does not apply a retroactive fee change to already agreed and settled work. 6. WITHDRAWALS AND PAYOUT CURRENCIES Withdrawals are available only from eligible Professional Earnings. Service Balance cannot be withdrawn. A balance, by itself, is not a payout. The initial payout currencies are EUR, GBP, and USD only. Other currencies, including TRY and JPY, are not initial payout currencies even if funding in those currencies is supported. TULSATO does not promise that every funding currency, or every balance, can be paid out. A payout in a currency may also require qualifying completed production funding in that same currency, a verified payout destination owned by the Professional, identity verification, and the other conditions in these Terms. Test or sandbox activity does not create live payout eligibility. For a USD payout, the USD Earnings amount may be the USD payout amount, subject to the applicable reservation, fee, and review rules. For an EUR or GBP payout, the provider-facing payout amount is a separate figure. It may be valued from the USD Earnings amount using a read-only provider rate. That valuation does not execute a currency exchange and does not mean TULSATO exchanged money. It may reflect provider fees or valuation effects. The USD Earnings amount and the payout amount are different figures. The approved payout intent freezes the payout currency, the payout amount, the destination, and the valuation used for that request. A later change to those facts requires a new approval. Where a payout is sent, TULSATO uses the designated provider account for that payout currency: EUR with the designated EUR account, GBP with the designated GBP account, and USD with the designated USD account. TULSATO does not use a different currency account to fund the payout and does not intentionally exchange another currency to cover it. If the matching currency is not available, the payout does not proceed on an automatic exchange. These Terms do not claim that a payout is sent from the exact historical deposit that funded the account. Money held with the provider is fungible. The supported statement is qualifying currency provenance and the matching designated account. A payout can be delayed, declined, cancelled, or failed. Reasons can include insufficient Earnings, a currency that is not eligible, missing or failed or expired or revoked or inconsistent identity verification, destination ownership that is missing or under review, a destination that is not in the verified person's name, provider unavailability, insufficient matching-currency liquidity, risk or compliance controls, or legal restrictions. Manual review may be required. Identity verification does not guarantee payout approval. Failed, expired, or revoked identity verification blocks a new payout request. Third-party bank, card, or payout accounts are prohibited. 7. TWO APPROVALS A real outgoing payout requires two approvals. First, TULSATO Ultra Admin approval. That approval freezes the payout intent. It is not payment. Second, manual approval by the owner in Revolut Business. TULSATO does not automatically release provider funds, does not approve the provider payment, and does not treat creation of a provider payment draft as a completed payout. Provider processing can still fail or be declined after those approvals. Most withdrawals are expected to be processed within 3–5 business days after the required approvals, but verification, provider availability, technical issues, or compliance restrictions may extend processing. There is no instant-payout guarantee. Real payout is currently disabled. These Terms describe the rules that apply when TULSATO enables the rail. They do not state that a payout can be completed today. 8. REFUNDS, REVERSALS AND CORRECTIONS Service Balance is non-refundable by default under product rules. TULSATO does not promise a cash refund of Service Balance. Earnings are not "refunded". Where a supported contractual or legal event exists (for example duplicate settlement, cancellation, dispute, fraud, or technical error), Earnings may be corrected, reversed, reserved, or offset using auditable correction or compensating records. These Terms do not invent chargeback rules that the product does not implement. 9. ACCOUNT CLOSURE Company: unused Service Balance remains non-refundable under these rules, subject to mandatory law and technical or error correction. Professional: Service Balance remains non-refundable. Eligible Earnings remain subject to these withdrawal rules. Account closure must not silently erase a legitimate Earnings claim. These Terms do not invent a forfeiture of earned funds. Legal, accounting, fraud, and audit records, including minimized identity and payout evidence tied to a financial record, may be retained after closure. 10. PROVIDERS, VERIFICATION AND BILLING RAILS Where TULSATO plan subscription billing is configured, billing may be processed by a payment service provider (currently Revolut for that subscription billing rail only). That billing rail, where used, does not credit Service Balance or Earnings and does not pay out Professional earnings. Subscription billing is separate from Service Balance funding and from Professional payouts. Didit is the primary hosted identity-verification provider. The provider may process identity documents, selfies, or biometric or equivalent verification data under its own flow. TULSATO does not store those raw artifacts under the current implementation. TULSATO retains minimized verification records needed for withdrawals and same-owner matching: provider reference, status, timestamps, minimized verified identity name, a normalized name form, a derived matching evidence used for the ownership check, destination ownership evidence, and manual review evidence where applicable. Didit does not independently verify bank-account ownership for TULSATO. Same-owner matching is performed by TULSATO. For TULSATO's own verification purpose, TULSATO is the controller and Didit is the processor and service provider. Didit may act as an independent controller only for limited provider-side purposes stated in Didit's own terms, including security, abuse prevention, service integrity, audit logging, legal compliance, and legal claims. Didit retains general verification data for 24 months, deletes a biometric template with the session, and is opted out of model training. TULSATO minimized evidence is not deleted automatically after that 24-month provider period. Stripe is not an active TULSATO payment, KYC, KYB, or payout provider. Wallet funding of Service Balance and Professional earnings payout remain unavailable until the relevant rail is enabled.
