SALES-T TERMS OF SERVICE Effective Date: 11 October 2026 Version: 2026.10.11 1. SCOPE AND ACCEPTANCE These Terms govern currently available SALES services: the SALES-T Android application, SALES Admin (Management Web), Professional Accounts, Company Accounts, Organizations, related published website account surfaces, and the TULSATO product website at https://tulsato.com. They describe currently available functionality only and do not describe unreleased SALES modules. TULSATO is the product/platform. DAMOCLES SERVICES SINGLE MEMBER P.C. is the contracting operator that provides TULSATO. TULSATO is not a separate legal company. The services are operated by: DAMOCLES SERVICES SINGLE MEMBER P.C. By accessing or using these services, you agree to these Terms. TULSATO accounts are available only to persons aged 18 or older. If you do not agree, do not use the services. 2. PROFESSIONAL ACCOUNTS A Professional Account is a personal SALES identity used for field and related product access, including SALES-T. It is distinct from a single Organization membership. 3. COMPANY ACCOUNTS A Company Account is the Company identity that may create and manage Organizations and Company-level access. 4. ORGANIZATIONS An Organization is the workspace that holds business records (Customers, Contacts, Visits, Communications, Activities, tracking visibility and settings) according to assigned membership and roles. 5. COMPANY RESPONSIBILITY FOR ROLES AND ACCESS The Company is responsible for assigning administrators, roles and access, inviting or removing users, and ensuring that only authorized persons can view Organization data. 6. USER RESPONSIBILITY FOR CREDENTIALS AND MFA Users must keep credentials confidential, complete required multi-factor authentication, protect approved devices, and promptly report suspected compromise. Accounts must not be shared. 7. TRACKING IS USER-INITIATED Only the authenticated tracked user may start Tracking in SALES-T. Organizations configure when tracking is permitted (including working-hour settings) but do not remotely start a tracking session. The user starting Tracking is not GDPR consent. Employee Tracking may be used only where the Organization has an appropriate lawful basis, a necessary and proportionate business purpose, and has provided the employee with clear prior information. TULSATO does not determine the Organization's lawful basis. While a session is active and shared with a selected Organization, authorized Organization management may see the user's live precise GPS position in Management/Admin Web. Stop Tracking ends new GPS collection. Historical GPS follows the selected Personal and Organization retention policies. Expired raw GPS is physically deleted once no legitimate holder remains. Increasing retention later does not restore already-purged history. Other business records follow their business lifecycle, last-holder rules, and legal/security minimums. 8. BACKGROUND TRACKING After the Professional starts tracking and grants the required permissions, tracking may continue while the app is minimized or the screen is locked. A persistent notification is shown while background tracking is active. 9. ACCURACY LIMITATIONS GPS, maps, timestamps, distances and visit checks are operational tools. They may be delayed, incomplete or inaccurate because of device, permission, satellite, network, battery, manufacturer or operating-system conditions. 10. GPS GAPS AND INCOMPLETE ROUTES Routes may contain gaps. SALES does not guarantee a continuous, complete path for every session. 11. VISIT VERIFICATION LIMITATIONS Visit verification uses available session GPS near a confirmed customer location for a configured minimum stay. Results may be verified, not verified, or unavailable when GPS data is insufficient. Visit outputs are not guaranteed legal, disciplinary or forensic proof. 12. CRM, CUSTOMER AND CONTACT RESPONSIBILITY The Organization and its users are responsible for the lawfulness and accuracy of Customers, Contacts and other business records they enter. SALES CRM Contacts are not Android address-book contacts. 13. PHOTOS AND UPLOADED CONTENT Users must have the right to capture or select photos and other content they upload. Uploaded content must be lawful and related to legitimate business use of SALES. Damocles Services does not claim ownership of Organization business content merely because it is stored in the service. 14. ORGANIZATION BUSINESS DATA Business records stored for an Organization remain the Organization's operational records, subject to these Terms, the Privacy Policy, and applicable law. 15. MULTI-ORGANIZATION USE A Professional may use SALES with more than one Organization. The user must select the correct Organization/share context and must not move or expose one Organization's records to another without authorization. 16. DEVICE AUTHORIZATION AND SECURITY SALES-T may require device authorization for tracking. Administrators may approve or revoke devices. Changing device, reinstalling the app or clearing data may require renewed authorization. 17. SUSPENSION Access may be suspended where an account is unauthorized, security concerns arise, these Terms are violated, or suspension is required by law. 18. PROFESSIONAL ACCOUNT DELETION AND RECOVERY A Professional may request deletion of the Professional Account. A one-year recovery period applies, during which normal operational access is disabled and recovery remains available. After finalization, remaining data is handled as described in the Privacy Policy. The same Professional lifecycle is also available at https://tulsato.com/account/delete/ and https://tulsato.com/account/recover/. 19. COMPANY DELETION AND RECOVERY A Company may request deletion of the Company Account. A one-year recovery period applies, during which normal operational access is disabled. After finalization, remaining data is handled as described in the Privacy Policy. 20. BUSINESS-RECORD CONTINUITY AFTER USER DELETION Deleting a user does not automatically delete Customer or Contact records while another legitimate holder or Organization context remains. When no legitimate holder remains, records become eligible for deletion or anonymization. 21. LEGAL AND COMPLIANCE RETENTION SALES may retain the minimum information required for legal obligations, security/fraud, claims/disputes, rights of others, and protection of Damocles Services, including under a legal hold. 22. AVAILABILITY AND MAINTENANCE Services are provided on an "AS IS" and "AS AVAILABLE" basis. Maintenance, defects, provider outages, network conditions or force majeure may limit availability. 23. ACCEPTABLE USE Users must not use SALES unlawfully; bypass authentication, MFA or device authorization; probe systems without written authorization; introduce malware; falsify business or tracking records; or infringe third-party rights. Prohibited use also includes attempting to access another person's account, scraping or extracting data except through documented product functions, and using SALES to harass or unlawfully monitor individuals. SALES does not sell personal data for advertising. 24. INTELLECTUAL PROPERTY TULSATO and its first-party intellectual property are owned by DAMOCLES SERVICES SINGLE MEMBER P.C. Access does not transfer ownership. Organization business content remains subject to section 13–14. Third-party libraries, APIs, models, fonts and other licensed assets remain the property of their respective owners. 25. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, DAMOCLES SERVICES SINGLE MEMBER P.C., its owners, personnel and Theofanis Lampropoulos are not liable for indirect, incidental, special, consequential, exemplary or punitive loss, including loss of records, GPS gaps, failed synchronization, revenue, goodwill or business interruption. Nothing excludes liability that cannot lawfully be excluded, including fraud, wilful misconduct, or death/personal injury where applicable. Where liability cannot be excluded, aggregate liability is limited to the amount actually paid for the relevant SALES service during the twelve months before the claim, or the minimum permitted by law if the service was provided without charge. To the extent permitted by applicable law, you will indemnify Damocles Services against claims arising from your unlawful use of SALES, content you upload, or your breach of these Terms, except to the extent caused by Damocles Services' wilful misconduct. 26. TERMINATION Access may end when an account is deleted, an Organization ends participation, or these Terms are terminated as permitted by law. The Organization is responsible for exporting any records it requires before termination, where export is available. 27. GOVERNING LAW AND JURISDICTION Unless a separate written agreement provides otherwise, these Terms are governed by the laws of Greece, subject to mandatory rights that cannot be excluded. Disputes are submitted to the competent courts of Greece unless mandatory law requires another forum. 28. CHANGES TO TERMS These Terms may be updated. The effective date and version identify the current text. The TULSATO product public copy is published at https://tulsato.com/terms/. An aligned Damocles Services copy is published at https://damocles-services.com/terms/. Continued use after an update constitutes acceptance only to the extent permitted by applicable law. 29. ASK SALES Ask SALES provides informational product help only. It does not execute account, CRM or Tracking actions. Answers may be generated using automated systems (including Google Gemini and an OpenAI fallback) and may be incomplete or incorrect. Ask SALES is not legal, tax or sales-performance advice. Do not submit passwords, secrets, or unnecessary customer personal data into Ask SALES. 30. COMPLIMENTARY FREE AGENT The complimentary FREE Agent is optional, limited to 3 successful actions per eligible user per UTC month, and not guaranteed. It proposes typed actions; you remain responsible for business decisions. Confirmation and server-side authorization are part of safety: the model alone does not authorize actions. Commercial Agenting is a different, currently closed capability and is not the FREE Agent. Paid Agent features are off. Plus++ is Coming Soon and is not active. 31. SCAN CARD Scan Card OCR/extraction is an operational aid. Results may be incomplete or incorrect. You must review extracted values before they become CRM records. SALES does not promise perfect OCR. 32. CURRENT COMMERCIAL AVAILABILITY Professional Accounts, Company Accounts and Basic Tracking are currently free of charge. In-product commercial schedules are USD-denominated (including Plus list prices, tickets, storage boosts, CRM share, additional CRM import and CRM export) and may be visible in the application. Where TULSATO plan subscription billing is configured, billing may be processed by a payment service provider (currently Revolut for that subscription billing rail only); that billing rail does not credit Service Balance or Earnings and does not pay out Professional earnings. Wallet funding of Service Balance and Professional earnings payout are not currently enabled. Receipts, invoices and VAT treatment are not configured as a live billing product. Ticket purchase/activation, expiry and refund questions that depend on consumer law remain subject to counsel review. Current product currency is USD. SALES Credits are not the current product currency. TULSATO is not a bank, EMI, or payment institution. The TULSATO Financial Terms form part of these Terms. 33. STORAGE QUOTA Storage Boosts and included logical quota, where shown in the product, limit new material writes when exceeded. Existing stored data remains readable. SALES does not automatically delete files because a logical quota is exceeded. 34. FEATURES NOT CURRENTLY OFFERED Authenticated Company and Professional users may use Freelancer Core for Trial and internal USD-denominated engagements under the Financial Terms. Users cannot presently complete a live Service Balance funding flow or a live Professional earnings payout. Real KYC/KYB is provider-hosted where configured. Qualified e-sign remains capability-gated. Public Freelancer marketplace self-registration remains closed. Commercial Agenting is closed and hidden. Advertising networks are not configured. SALES does not promise uninterrupted AI provider access. Stripe is not an active payment, KYC, KYB, or payout provider. TULSATO is not a bank, EMI, or payment institution. 35. TULSATO FINANCIAL TERMS The TULSATO Financial Terms are a separate instrument and form part of these Terms. They govern USD Service Balance, Earnings, marketplace fees, earnings conversion, funding valuation, and withdrawals. This summary does not override the Financial Terms. A source payment currency may differ from the USD internal balance. Payout currencies, identity prerequisites, destination ownership, and provider approval are governed by the Financial Terms. Live Service Balance funding and Professional earnings payout are not currently enabled. Current product currency is USD only. SALES Credits are not the current product currency. Company Service Balance is funded by the Company in USD, is for use within TULSATO only, is non-refundable, is non-withdrawable, cannot be redeemed for cash, and cannot be transferred outside permitted TULSATO functionality. Assignment and applicable TULSATO fees debit Service Balance. The current Freelancer marketplace Company fee is 5% of Professional gross compensation, subject to later versioned commercial terms. TULSATO may reserve Service Balance for active assignments. Reserved funds are unavailable until released or settled. The Company must maintain sufficient Service Balance. The Company has no cash-out. A Professional wallet has two components. Service Balance is non-refundable and non-withdrawable and may be funded by the Professional or created by voluntary earnings conversion. Earnings Balance is potentially withdrawable, subject to review and payout availability, and may be converted one-way into Service Balance after express authorization. Displayed Total Balance may combine both; only Earnings are available to withdraw. Marketplace example: $50 gross, Company fee $2.50, Company debit $52.50, Professional fee $2.50, Professional Earnings $47.50, TULSATO platform fee $5.00. Both sides are charged separately. Rates may change prospectively. No retroactive change to already settled work. Withdrawals: eligible Professional Earnings only; verified same-owner destination; third-party destinations prohibited; ACCEPT / REJECT / FURTHER REVIEW; approval is not completed payment; most withdrawals expected within 3–5 business days; additional verification may extend processing; no instant-payout guarantee; real payout currently disabled. Service Balance is not a cash-refundable deposit. Earnings may be corrected, reversed, reserved or offset only for supported legal/contractual events using auditable records. Account closure does not create a Company cash refund of unused Service Balance and does not silently erase legitimate Professional Earnings claims. 37. ACKNOWLEDGEMENT By using SALES, the user confirms that the user is authorized to use the services, has read these Terms, understands operational and GPS limitations, and agrees to comply with these Terms and the relevant Organization's policies.
